The Marvell Lumentum deal, announced Monday, Nov. 2, 2026, would combine Santa Clara, Calif.-based chipmaker Marvell Technology with San Jose optical-component maker Lumentum Holdings in an all-stock transaction valued at about $115 billion. Lumentum holders would get 4.5 Marvell shares for each share they own. The companies expect the deal to close in the first half of 2028.
Key figures: $115 billion enterprise value · 4.5 Marvell shares per Lumentum share · $1,132 per share at signing · 23.9% premium · Marvell holders keep about 67% · close expected first half of 2028
What Marvell is buying, and on what terms
According to the companies’ joint release, the exchange ratio implied about $1,132 per Lumentum share, a 23.9% premium to Lumentum’s unaffected closing price on Oct. 28, the last trading day before reports of talks surfaced. After closing, Marvell shareholders would own about 67% of the combined company and Lumentum shareholders about 33%.
The deal needs approval from both companies’ shareholders and from regulators. Matt Murphy would remain chairman and chief executive of Marvell, and three Lumentum directors, including Lumentum CEO Michael Hurlston, would join Marvell’s board, which has seven members. The companies said they expect more than $1 billion in annual run-rate cost savings and that the deal would add to Marvell’s adjusted earnings per share in its first full year.
Lumentum makes the lasers and optical parts that move data as light inside AI data centers. Marvell sells custom AI chips, networking silicon and the electro-optics that sit between them. Together, the companies say, they would address a market of about $550 billion. Reuters reported that it would be Marvell’s largest acquisition, well above its $10 billion purchase of Inphi in 2021, and one of the biggest deals of 2026.
Why investors sold both stocks
Both stocks fell on the news. Marvell shares were down 6.8% at $183 shortly after 10 a.m. Eastern, Yahoo Finance reported. Lumentum was off 13.6% at $726.33 around midday, according to RTTNews, against a prior close of $840.70. Reuters reported that since talks were first reported late last month, Lumentum had lost about 8% and Marvell about 22%, as chip stocks slid after Intel’s weak fourth-quarter forecast.
The selloff matters because the deal is paid entirely in Marvell stock. When Marvell shares drop, the value Lumentum holders receive drops with them. The decline also lands as Wall Street questions how long Big Tech can keep raising AI budgets, a concern that pushed S&P Global to turn negative on Meta’s credit outlook this weekend.
By the numbers

- Value at Monday’s price: At $183 a Marvell share, 4.5 shares are worth $823.50, about 27% less than the $1,132 implied at signing (TBR calculation).
- Arbitrage gap: Lumentum’s $726.33 midday price sat about 12% below that $823.50 value, a gap that reflects the long wait to closing and the risk that regulators or shareholders block the deal (TBR calculation).
- Price versus sales: $115 billion is about 23 times Lumentum’s latest quarterly revenue of $1.26 billion multiplied by four (TBR calculation).
- Relative size: Lumentum’s guidance midpoint of $1.6 billion for its current quarter, times four, is about $6.4 billion, or roughly 78% of the $8.2 billion Marvell reported for fiscal 2026 (TBR calculation).

Lumentum released quarterly results alongside the deal. Revenue for the quarter ended Sept. 26 rose 136.5% from a year earlier to $1.26 billion, and GAAP net income was $360.3 million. Lumentum guided to $1.575 billion to $1.625 billion in revenue for the current quarter. It also reported a second major win for co-packaged and near-packaged optics, backed by customer purchase commitments of more than $5 billion. Marvell said its preliminary revenue for its fiscal third quarter was in line with the midpoint of its guidance.
The race to wire AI data centers with light
As AI clusters grow to hundreds of thousands of chips, copper wiring struggles to carry data far enough and fast enough, so more links are moving to optics. Reuters noted that Nvidia invested $2 billion each in Marvell and Lumentum earlier this year, and that Marvell signed a deal with Google in August covering up to $120 billion in sales through fiscal 2033. Marvell competes with Broadcom in custom AI chips, while Lumentum competes with Coherent and China’s Zhongji Innolight in optical parts. Reuters also reported that Lumentum could benefit from a proposed U.S. ban on new Chinese optical transceivers. Marvell closed its $3.5 billion purchase of optical-interconnect startup Celestial AI in February.
The deal adds to a run of large AI bets this fall, including OpenAI’s scaled-back fundraising, that test how much investors will pay for future AI demand.
What the companies said
“AI infrastructure is undergoing a fundamental architectural shift toward optical connectivity, creating an opportunity that comes along once in a generation,” Murphy said in the release. Hurlston said joining Marvell “creates a company uniquely positioned to capitalize on a market opportunity of $550 billion.” Qatalyst Partners is lead financial adviser to Marvell, with J.P. Morgan and Goldman Sachs also advising. Citi and Evercore are advising Lumentum.
